TERMS + CONDITIONS

Last Updated: September 29, 2026

Welcome to the website of Oilonit Design LLC (“Oilonit Design,” “we,” “us,” or “our”). By accessing or using our website, purchasing our services, or engaging us for design services, you agree to be bound by these Terms & Conditions (“Terms”).

If you do not agree with these Terms, please do not use our website or services.

1. About Our Services

Oilonit Design LLC provides design-related services to individuals, businesses, organizations, and other clients. The specific services provided, deliverables, timelines, fees, and project requirements will be agreed upon between Oilonit Design and the client before work begins.

Depending on the project, our services may include graphic design, branding, digital design, creative direction, custom artwork, marketing materials, and other design services.

2. Client Responsibilities

Clients agree to provide accurate and complete information, materials, content, specifications, approvals, and feedback reasonably necessary for us to complete a project.

The client is responsible for ensuring that materials supplied to Oilonit Design—including photographs, logos, text, artwork, trademarks, or other content—may legally be used for the project.

Delays caused by missing information, materials, approvals, or feedback may affect the project timeline and may result in additional charges.

3. Quotes, Pricing, and Payment

Project pricing will be communicated to the client before work begins. A quote, proposal, invoice, estimate, or other written agreement may establish the specific price and payment terms for a project.

Unless otherwise agreed in writing:

  • Deposits or upfront payments may be required before work begins.
  • Payments are due according to the terms stated on the applicable invoice.
  • Work may be paused or suspended if an invoice becomes overdue.
  • Additional work outside the agreed scope may result in additional charges.
  • Taxes, third-party fees, printing costs, shipping costs, stock images, fonts, software licenses, or other external expenses may be charged separately when applicable.

All payments made to Oilonit Design are subject to the terms stated on the applicable invoice or project agreement.

4. Project Scope and Revisions

The scope of each project will be based on the services and deliverables agreed upon with the client.

Reasonable revisions may be included when specifically stated in the applicable proposal or project agreement. Requests that substantially change the original project scope, concept, direction, or deliverables may be treated as additional work and billed separately. Oilonit Design reserves the right to charge additional fees for revisions or services that fall outside the agreed scope.

5. Project Timelines

We will make reasonable efforts to complete projects within the timeline communicated to the client.

Project timelines may change because of circumstances including, but not limited to:

  • Delayed client feedback or approvals;
  • Changes to the project scope;
  • Delays in receiving required materials;
  • Third-party delays;
  • Technical problems;
  • Circumstances beyond our reasonable control.

Unless otherwise agreed in writing, project deadlines are estimates and are not guaranteed.

6. Cancellation and Termination

Either party may request to cancel or terminate a project, subject to any applicable written agreement.

If a client cancels a project after work has begun, the client may be responsible for payment for work completed, expenses incurred, and any non-refundable amounts agreed upon before the project began.

Oilonit Design may suspend or terminate services if a client fails to make required payments, repeatedly fails to provide necessary information or approvals, requests unlawful work, or otherwise materially breaches these Terms or an applicable project agreement.

7. Intellectual Property

Unless otherwise agreed in writing, Oilonit Design retains ownership of its preliminary concepts, unused concepts, sketches, drafts, working files, processes, methods, and other materials that are not included as final deliverables.

Upon receipt of full payment, the client will receive the rights to the final deliverables specifically identified in the applicable project agreement, subject to any third-party rights, licenses, or restrictions.

Unless expressly agreed otherwise, editable source files, working files, raw files, and development files are not automatically included in the final deliverables.

8. Third-Party Materials

Design projects may incorporate third-party materials such as fonts, stock photographs, illustrations, templates, software, plugins, or other licensed content.

Third-party materials remain subject to their respective licenses and terms. The client is responsible for complying with applicable third-party licensing requirements when those materials are provided for the client’s use.

Oilonit Design does not transfer ownership of third-party materials that it does not own.

9. Client-Provided Materials

The client represents that it has the necessary rights, permissions, and licenses to use any materials provided to Oilonit Design.

The client agrees to indemnify and hold Oilonit Design harmless from claims arising from the client’s unauthorized use of third-party materials or from materials supplied by the client that infringe another person’s or company’s rights.

10. Portfolio and Promotional Use

Unless otherwise agreed in writing, Oilonit Design may display completed design work created for a client in its portfolio, website, social media, presentations, marketing materials, or other promotional materials.

If a project is confidential or subject to a non-disclosure agreement, Oilonit Design will respect the applicable confidentiality obligations. Clients who do not want their completed project displayed publicly should notify Oilonit Design in writing before the project is completed.

Oilonit Design will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, power or internet outages, government actions, labor disruptions, technology failures, illness, or other events that could not reasonably have been prevented.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this website with a revised “Last Updated” date. Your continued use of the website after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.

19. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise. Any dispute will be handled in a court or other forum having appropriate jurisdiction, subject to any separate written agreement between Oilonit Design and the client.

20. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

21. Entire Agreement

These Terms, together with any applicable proposal, quotation, invoice, service agreement, or other written agreement between Oilonit Design and the client, constitute the agreement governing the applicable services. If there is a conflict between these Terms and a separate written agreement signed by both parties, the separate written agreement will control for that particular project to the extent of the conflict.
